Abstract: The Coase Theorem is one of the most important theories in the field of Law & Economics. The Theorem claims that in the absence of transaction costs that people will be able to reach mutually beneficial and efficient agreements. Coasean transaction costs are separated into three categories: search, negotiation, and enforcement. When transaction costs are present the theorem advocates that property rights should be assigned to the most efficient users. When private information is incorporated into the Coase Theorem the efficiency and distribution of agreements between parties is affected. Private information leads to inefficient bargains, a bias in the distribution of the stakes towards the party with private information, and bargaining breakdown. The process of legal discovery addresses the effects of private information by compelling the exchange of private information between parties in a dispute. Mandatory information exchange returns the bargaining environment to one where cooperative bargaining can succeed.
